A leave and licence agreement gives a licensee permission to occupy premises for a fixed period of up to 60 months without creating a tenancy. In Maharashtra it must be registered under Section 55 of the Maharashtra Rent Control Act, 1999, and can be registered online through the IGR e-registration system with Aadhaar biometrics. Stamp duty is 0.25% of total rent plus notional interest on the refundable deposit, and the registration fee is ₹1,000 in urban areas and ₹500 in rural areas.
Leave and licence for commercial premises
Offices, shops, clinics, warehouses and co-working spaces are commonly let on leave and licence for up to five years. Typical commercial clauses we include:
- Lock-in period for both sides and notice period after it.
- Annual escalation (commonly 5–10%) and GST on rent where applicable.
- Fit-out period, permitted use, signage and maintenance responsibility.
- Restoration of premises and adjustment of the deposit at exit.
For terms longer than 60 months, or where the occupier needs a transferable interest, a registered lease deed is used instead.
