Agreement to Transfer — Flat, Shop and Tenancy Rights

When what changes hands is a right — a society membership, a tenancy, a gala or shop allotment — rather than plain freehold land, the deal is recorded in an agreement to transfer. We draft it to match the society, landlord or authority rules, stamp it correctly and register it.

Quick answer

An agreement to transfer records the terms on which one person transfers rights in a flat, shop, gala or tenanted premises to another, before or along with the final deed of transfer. It is stamped like a conveyance on the market value of the rights transferred and registered with the Sub-Registrar. Consent or NOC from the society, landlord or allotting authority is usually needed for the transfer to be recognised.

When an agreement to transfer is used

  • Co-operative society flats and shops — transferring the flat along with society membership and shares.
  • Tenancy (pagdi) premises in Mumbai and Pune — outgoing tenant transfers tenancy to an incoming tenant with the landlord’s consent.
  • Industrial galas and commercial units held on allotment or occupancy rights.
  • Family or partner transfers of rights that are not full ownership.

If the seller holds clear freehold ownership, an agreement to sale and sale deed are usually the better route. If you are selling a booked under-construction flat, see agreement to assignment.

How the agreement to transfer process works

  1. Identify the right

We check what the seller actually holds — ownership, membership, tenancy or allotment — from the documents.

  2. Consent

We prepare the NOC application for the society, landlord or authority.

  3. Draft

Price, payment schedule, handover, outstanding dues and consent conditions recorded.

  4. Stamp and register

Duty on the market value of the rights, paid by e-challan; registered at the Sub-Registrar.

  5. Complete the transfer

Deed of transfer, share certificate transfer or new rent receipt in your name.

Stamp duty on transfer of rights

The Collector of Stamps charges transfer documents according to what they actually do. A transfer of a flat, shop or tenancy for consideration is generally charged like a conveyance on the market value of the rights transferred, using the Ready Reckoner. For tenanted premises, the Ready Reckoner has specific valuation rules, which usually lead to a lower value than an untenanted unit.

We calculate the exact figure before you sign and, where the value is unclear, get it adjudicated to avoid penalty later.

Frequently asked questions

What is an agreement to transfer?

It is a registered agreement by which a person agrees to transfer rights in a flat, shop, gala or tenanted premises to another, with the price, handover and consent conditions recorded.

Is society NOC needed to transfer a flat?

A society cannot unreasonably refuse a transfer, but its NOC and share transfer are needed for the new owner to become a member. We prepare the application and supporting documents.

How is stamp duty calculated on transfer of tenancy?

Generally like a conveyance on the market value of the tenancy rights, calculated from the Ready Reckoner using the rules for tenanted premises. We work out the figure before signing.

Can pagdi tenancy be transferred?

Yes, with the landlord’s consent, usually on payment of a transfer premium to the landlord. The agreement records the consent and premium.

What is the difference between agreement to transfer and deed of transfer?

The agreement records the terms and payment plan; the deed of transfer actually transfers the rights once conditions are met. Sometimes both are combined in one registered document.
