Conveyance Deed and Deemed Conveyance for Housing Societies

Your society owns its flats but not the land until the builder conveys it. A conveyance deed — or, if the builder will not cooperate, a deemed conveyance order — puts the land and building in the society’s name, which is essential for redevelopment and clean resale.

Quick answer

A conveyance deed transfers ownership of property from one party to another; for housing societies it transfers the land and building from the developer to the society. Under Section 11 of the Maharashtra Ownership Flats Act, 1963, the developer must convey title within four months of the society’s formation. If not, the society can apply to the District Deputy Registrar of Co-operative Societies for a deemed conveyance order, after which the conveyance is registered unilaterally. Stamp duty is adjudicated, with credit for duty already paid by flat buyers.

Individual buyers also use a conveyance deed to transfer a plot or house — in that sense it is the same as a sale deed.

Documents required for conveyance deed

Society

  • Society registration certificate
  • List of members with Index-II of each flat agreement
  • Proof of stamp duty paid on members’ agreements
  • Resolution authorising the application

Property

  • Development agreement and title documents of the land
  • 7/12 extract or property card, city survey plan
  • Approved building plan and occupancy certificate (if available)
  • Architect’s certificate of FSI consumed

For deemed conveyance

  • Legal notice to the developer and proof of service
  • Draft conveyance deed
  • Title search report

How the conveyance deed process works

  1. Document audit

We collect and check all title, approval and member documents, and identify gaps.

  2. Notice to developer

Formal notice asking the developer to execute the conveyance within the statutory period.

  3. Conveyance or DDR application

If the developer cooperates, we draft the conveyance deed; if not, we file the deemed conveyance application before the DDR.

  4. Stamp duty adjudication

Duty adjudicated by the Collector of Stamps, with credit for duty paid by members.

  5. Register and mutate

Conveyance registered at the Sub-Registrar; society name entered on the 7/12 or property card.

Why your society should not delay

  • Redevelopment — only the land owner can sign a development agreement for an old building.
  • Unused FSI and TDR — benefits belong to the owner on record.
  • Resale and loans — banks increasingly ask whether the society has conveyance.
  • Protection — prevents the developer from mortgaging or dealing with the land.

Buildings registered under the Apartment Ownership Act follow a different route: see deed of apartment.

Frequently asked questions

What is a conveyance deed?

It is the registered document that transfers ownership of property. For housing societies, it transfers the land and building from the developer to the society.

What is deemed conveyance in Maharashtra?

If the developer does not convey the land within four months of the society’s formation, the society can apply under Section 11 of MOFA to the District Deputy Registrar, who can issue a certificate for unilateral conveyance to the society.

How much stamp duty is payable on society conveyance?

The Collector of Stamps adjudicates the duty. Duty already paid on members’ flat agreements is given credit, so the balance is usually limited to unsold area or additional FSI. We calculate it from your documents.

Is an occupancy certificate required for deemed conveyance?

It is no longer mandatory; societies without an OC can apply with an indemnity and other supporting documents.

How long does deemed conveyance take?

Typically 6–12 months from filing, depending on hearings, the developer’s response and stamp duty adjudication.

Can you handle the whole deemed conveyance process?

Yes. We prepare the documents, coordinate with your advocate or ours for hearings, get stamp duty adjudicated and register the conveyance.
